Gyli — Terms of Use

Effective date: 1 November 2026

These terms are an agreement between you and VDS Software Design Studio, LLC, Dubai, Dubai International Financial Centre (DIFC), Building 27, office 201, UAE - (“we”, “us”) about your use of the Gyli app for iPhone (“Gyli”, “the app”). By downloading or using Gyli you agree to them. If you do not agree, please do not use the app.

1. What Gyli is

Gyli is an app for planning and logging strength training, walks and other activities, and for tracking how you feel. It is a fitness and wellbeing tracker. It is not a medical device and does not give medical advice. Please read the Health and Safety notice, which forms part of these terms.

2. Your licence to use Gyli

We give you a personal, non-exclusive, non-transferable licence to use Gyli on Apple devices that you own or control, as allowed by the Usage Rules in Apple’s Media Services Terms and Conditions. You may not:

• copy, modify, translate, reverse-engineer or decompile the app, except where the law allows it;
• extract, copy, republish or redistribute the exercise library, its instructions or its demonstration animations, or use them to build another product or database;
• rent, lease, sell or sublicense the app;
• use the app in a way that breaks the law.

3. Free features and Gyli Premium

Gyli’s core features are free. Gyli Premium is an optional monthly subscription that unlocks extra features, which the app describes on the Gyli Premium screen.

• Apple sells and bills the subscription. Payment is charged to your Apple Account when you confirm the purchase. The price is shown before you buy.
• It renews automatically every month at the price shown, unless you cancel at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within the 24 hours before the period ends.
• You can cancel at any time in Gyli › Settings › Manage Subscription, or in your Apple Account settings. Cancelling stops the next renewal; Premium stays active until the end of the period you have paid for.
• Refunds are handled by Apple under Apple’s terms. We cannot issue refunds ourselves. You can request one at reportaproblem.apple.com.
• Price changes. If the price changes, Apple will tell you in advance and, where the law or Apple’s rules require it, ask for your agreement before charging the new price.
• There is no free trial. Family Sharing is not available for this subscription.
• Your data stays yours. If your subscription ends, your workouts, moods and history stay in the app; only the Premium features stop.

4. Features that depend on your iPhone

Some features need particular hardware, software or settings, which are outside our control:

• The AI reviews need an iPhone that supports Apple Intelligence (iPhone 15 Pro or later), with Apple Intelligence turned on and its model downloaded, and the iPhone and Siri set to the same supported language.
• Logging a set with a head nod needs compatible AirPods (AirPods Pro, AirPods (3rd generation) or later, or AirPods Max).
• Speaking cues in your own voice needs Personal Voice set up in iOS.
• Apple Health features need your permission in Apple Health.

The app tells you when a feature is not available on your iPhone. A Premium feature that your iPhone cannot run is not a fault in the subscription; please check before you subscribe.

5. Your data and content

Everything you enter in Gyli — workouts, moods, notes, journal entries and anything else — is yours. It is stored on your iPhone and, if you use iCloud, in your own iCloud account. We do not receive it and cannot recover it for you. Keeping iCloud on, or using Export my data, is how you keep a copy. Gyli also sends anonymous usage statistics, which you can turn off in Settings. The Privacy Policy explains this in full.

When you share or export something from Gyli, you choose where it goes, and you are responsible for what you share and for having the right to share any photo you use.

6. AI reviews

The AI reviews are produced by Apple’s on-device language model from your own data. They are meant as encouragement and reflection. They can be wrong, and they are not medical, health, fitness or psychological advice. Do not rely on them to make decisions about your health. See the AI notice.

7. Exercise content

Some exercise names, instructions and demonstration animations are licensed from a third party; others are written by us. All of it is general information. It has not been checked for your personal circumstances, and no one — including the provider of licensed content — has confirmed that any exercise is safe or suitable for you. You decide which exercises to do, how and how much.

8. Health and safety

Exercise carries a risk of injury. You use Gyli and do any exercise at your own risk and judgement. Talk to a doctor or qualified professional before you start or change how you exercise. Stay aware of your surroundings, especially when using headphones or audio cues. The Health and Safety notice has more.

9. Changes to the app

We may update, change or remove features of Gyli. If we remove a Premium feature that was a main reason for the subscription, we will tell you in the app.

10. No warranty

Gyli is provided “as is” and “as available”. To the extent the law allows, we make no promise that the app will be error-free or uninterrupted, or that information shown in it (including data from Apple Health, step counts, timers and AI reviews) is accurate. Nothing in these terms limits rights you have under consumer law that cannot be limited by contract.

11. Limitation of liability

To the extent the law allows, we are not liable for any injury, loss of data, or indirect or consequential loss arising from your use of Gyli, and our total liability to you is limited to the amount you paid for Gyli Premium in the twelve months before the claim. This does not limit liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.

12. Ending these terms

You can stop using Gyli at any time by deleting it (and cancelling any subscription). We may end your licence if you break these terms. Sections 5, 10, 11 and 13 continue after the terms end.

13. Law and disputes

These terms are governed by the laws of UAE. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts there.

14. Terms Apple requires

• Who the agreement is with. These terms are between you and us only, not with Apple. We, not Apple, are solely responsible for Gyli and its content.
• Scope of licence. The licence in section 2 is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions (except that Gyli may be accessed by other accounts associated with you through Family Sharing or volume purchasing, where available).
• Maintenance and support. We alone are responsible for maintenance and support of Gyli. Apple has no obligation to provide any maintenance or support for it. Support: info@vandestadt.com.
• Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If Gyli fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Gyli. To the maximum extent permitted by law, Apple has no other warranty obligation for Gyli, and any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are our sole responsibility.
• Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to Gyli or your possession or use of it, including product liability claims, claims that Gyli fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws, including in connection with Gyli’s use of HealthKit.
• Intellectual property. If a third party claims that Gyli or your possession and use of it infringes that party’s intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.
• Legal compliance. You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Developer contact. VDS Software Design Studio, LLC, Dubai, Dubai International Financial Centre (DIFC), Building 27, office 201, UAE, info@vandestadt.com.
• Third-party terms. You must comply with applicable third-party terms when using Gyli.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms, and once you accept them Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

15. Changes to these terms

We may update these terms. The current version is always at https://gyli.vandestadt.com/terms. If a change materially affects you, we will tell you in the app before it takes effect.
